Please read these Terms carefully. By engaging our services, you agree to be bound by them.
1. Acceptance of Terms
By engaging the services of S. Saif ("the Freelancer", "I", "me"), you ("the Client", "you") agree to be bound by these Terms. These Terms constitute a legally binding agreement. If you do not agree, do not proceed with any engagement.
2. Services
S. Saif provides digital services including but not limited to:
- Frontend and full-stack web development
- UI/UX design and design system creation
- WordPress theme and plugin development
- Backend API development and integration
- Blockchain smart contract integration and Web3 development
- Technical consulting and code review
The specific scope for each engagement will be defined in a separate Project Brief or Statement of Work, incorporated by reference into these Terms.
2.1 Scope Changes
Any changes to agreed scope must be documented in writing via a Change Request. Additional scope will be quoted separately and may affect timeline and cost.
3. Payment Terms
Unless otherwise agreed:
- Deposit: 50% of total project fee due before work commences
- Final Payment: Remaining 50% due on completion, prior to final delivery
- Late Payment: Invoices unpaid after 14 days accrue 1.5% interest per month
- Currency: All fees quoted in USD unless stated otherwise
3.1 Refund Policy
The initial deposit is non-refundable once work has commenced. If a project is cancelled by the Client, payment is due for all work completed to date at the Freelancer's standard hourly rate.
4. Intellectual Property
Upon receipt of full payment, the Client receives full ownership of all custom work produced — including source code, design files, and deliverables.
4.1 Third-Party Assets
Third-party libraries, fonts, stock assets, and open-source components remain subject to their respective licenses. All dependencies will be disclosed.
4.2 Portfolio Rights
Unless requested otherwise in writing, the Freelancer retains the right to display completed work in portfolio, case studies, and promotional materials.
5. Confidentiality
The Freelancer agrees to keep all confidential information strictly confidential and will not disclose it to any third party without prior written consent. A separate NDA is available on request and will supersede this clause where applicable.
6. Warranties & Representations
The Freelancer warrants that:
- All work will be original and will not infringe third-party intellectual property rights
- The delivered product will function as specified in the agreed project brief
- A 30-day bug-fix period is included after final delivery for specification defects
The 30-day warranty does not cover changed requirements, new features, client-side modifications, or third-party service failures.
7. Limitation of Liability
To the maximum extent permitted by law, the Freelancer's total liability shall not exceed the total fees paid for the specific project giving rise to the claim. The Freelancer is not liable for any indirect, incidental, or consequential damages, including lost profits or business interruption.
8. Termination
Either party may terminate with 14 days' written notice. Upon termination:
- The Client is obligated to pay for all work completed to date
- The Freelancer will deliver completed files within 7 days of final payment
- Confidentiality obligations survive termination indefinitely
9. Governing Law
These Terms are governed by the laws of Bangladesh. Disputes will first be resolved through good-faith negotiation. If unresolved within 30 days, the parties agree to binding arbitration.
10. Changes to These Terms
The Freelancer reserves the right to update these Terms at any time. Changes are posted here with an updated effective date. For ongoing retainer clients, 30 days' notice will be provided before material changes take effect.
